We refer to our disclosure under Regulation 30 of the SEBI Listing Regulations, vide our letter dated 22 August 2025 notifying BSE Limited regarding the execution of the share purchase agreement dated 22 August 2025 by the promoters of the Company, i.e., Morganite Crucible Limited and Morgan Terrassen B.V. (collectively, the 'Promoters') with, inter alia, Foseco India Limited ('Acquirer') for acquisition by the Acquirer of 42,00,000 fully paid up equity shares of the Company from the Promoters, constituting 75% of the total paid up equity share capital of the Company on a fully diluted basis (the 'SPA').
